Terms of Use

Effective October 9, 2026

1. About these terms

These terms cover your use of mistral.vc and any page linked from it that we run (the “Site”). Mistral Venture Partners Inc. (“Mistral”, “we”, “us”) runs the Site from Ottawa, Ontario, Canada. By using the Site you agree to these terms. If you don’t agree, please don’t use the Site.

2. Changes to these terms

We may change these terms at any time by posting a new version here. The version posted when you use the Site is the one that applies. Please check back from time to time.

3. Access to the Site

We may change, pause or shut down the Site, or any part of it, at any time without notice. The Site may be down for maintenance or other reasons. We may block access for anyone who breaks these terms. We are not liable to you or anyone else for doing so.

4. Using content from the Site

You may view, download and print content from the Site for your own personal, non-commercial use, as long as you:

  • don’t change it
  • don’t use images or graphics apart from the text they go with
  • don’t quote it out of context
  • keep all copyright and other notices on any copy

We may withdraw this permission at any time by written notice. It does not cover the Site’s design or layout, which you may not copy. To use third-party content on the Site, please contact its owner.

5. No offer of securities and no advice

Nothing on the Site is an offer to sell, or a request for an offer to buy, any interest in a Mistral fund or any other security. We offer fund interests only to qualified investors, through formal offering documents, where the law allows.

Nothing on the Site is investment, legal, tax or accounting advice. Past results of any fund or company do not predict future results. Opinions on the Site, including blog posts and guides, are those of the writer on the date written and may change.

6. Portfolio companies and other content

The Site names and shows logos of companies we have invested in. This is not an endorsement of their products, and those companies don’t speak for us. The list may not include every investment, and details about any company may be out of date. Company names and logos belong to their owners.

7. Pitches and other things you send us

The Site doesn’t accept pitch decks. If you send us a pitch deck, business plan or other material another way, such as by email or through an introduction:

  • we don’t sign confidentiality agreements to review a first pitch, and we can’t promise to keep what you send confidential
  • we review many companies, and we may already have invested in, or later invest in, companies that work on similar ideas
  • we won’t publish your pitch materials
  • we use your personal information as the Privacy Policy below describes

If you send us feedback or ideas about the Site or our work, we may use them without paying you or owing you anything.

Only send us material you have the right to share.

8. Our names and marks

“Mistral Venture Partners”, “Mistral”, our logo and our other marks belong to Mistral Venture Partners Inc. You may not use them without our written approval. Other names and marks on the Site belong to their owners.

9. No warranties

We provide the Site and its content “as is” and “as available”. To the fullest extent the law allows, we make no promises of any kind, express or implied, about the Site, including that it will be accurate, complete, up to date, secure, free of errors or viruses, or always available, or that it will suit your purpose. You use the Site at your own risk.

10. Limits on our liability

To the fullest extent the law allows, Mistral and its partners, staff, suppliers and licensors are not liable for any indirect, incidental, special or consequential damages, or for any lost revenue, profit or data, that come from your use of the Site, even if we knew they were possible.

In any case, our total liability to you for all claims linked to the Site is limited to US$1. Some places don’t allow these limits, so they may not apply to you.

11. Your responsibility to us

You agree to cover Mistral and its partners, staff, suppliers and licensors for any claims, losses and costs (including reasonable legal fees) that come from your breach of these terms, anything you post or send through the Site, or your use of the Site.

12. Links to other sites

The Site links to sites we don’t control, including portfolio company sites. We don’t review them and aren’t responsible for their content, products or services. A link is not an endorsement. You visit them at your own risk.

13. Privacy

Our Privacy Policy below explains how we collect and use personal information. It forms part of these terms.

14. Visitors outside Canada

We run the Site from Canada. We don’t claim that its content suits or is available in other countries. If you use it from elsewhere, you do so on your own choice and must follow your local laws.

15. Governing law

The laws of Ontario and the federal laws of Canada that apply there govern these terms and your use of the Site, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. You and we agree that the courts in Ottawa, Ontario have sole jurisdiction over any dispute.

16. General

These terms and our Privacy Policy are the whole agreement between you and us about the Site. If a court finds any part of these terms unenforceable, the rest still applies. If we don’t enforce a right, we haven’t given it up. These terms are written in English, and the English version controls.

  • your email address when you subscribe to our newsletter, which runs on Substack (see section 10)
  • pitch decks, business plans and other material you send us about your company by email or through an introduction (the Site doesn’t accept them), which may name you and your team

What we collect when you use the Site:

  • pages viewed, the site that sent you, browser, operating system, device type and country, through Vercel Web Analytics, which doesn’t use cookies or identify you

We don’t knowingly collect sensitive information such as health or financial account details. Please don’t send it to us.

3. How we use it

We use personal information to:

  • review your company and decide whether to invest
  • reply to you and keep in touch about your company or our work
  • send our newsletter and event invites, if you signed up
  • see how people use the Site, in summary form, so we can improve it
  • meet our legal duties

We don’t sell personal information.

4. Consent

We collect, use and share personal information with your consent, or where the law allows without it. You can withdraw consent at any time by contacting our privacy officer, subject to legal limits. If you do, we may not be able to review your company or send you updates.

5. Who we share it with

We share personal information only as needed with:

  • our partners, staff and advisors, who must keep it confidential
  • service providers who help us run our business, such as Vercel (site hosting and analytics), Substack (newsletter) and our email and contact management providers, under terms that limit how they can use it
  • other investors we are working with on a possible investment, who may see pitch materials you send us
  • authorities or others where the law requires, or to protect our rights

If Mistral or a fund merges, sells assets or goes through a similar change, personal information may pass to the new owner, who must use it as this policy describes.

6. Storage outside Canada

Some of our service providers store data outside Canada, mainly in the United States. Information stored there is subject to the laws of that country, and its courts and authorities may be able to access it. We assess these providers before we use them.

7. How long we keep it

We keep personal information only as long as we need it for the reasons above or as the law requires. After that, we delete it or make it anonymous.

8. How we protect it

We use reasonable safeguards, including access limits and secure tools, to protect personal information from loss, theft and misuse. No system is fully secure. If a breach creates a real risk of serious harm to you, we will tell you and the regulators as the law requires.

9. Cookies

The Site doesn’t use cookies for analytics or advertising. Vercel Web Analytics counts visits without cookies and without identifying you. If we add cookies beyond those the Site needs to work, we will update this policy and ask for your consent first.

10. Our emails

Our newsletter runs on Substack. When you subscribe, Substack collects your email and sends the newsletter under its own privacy policy. Every issue has an unsubscribe link. We send other marketing emails only to people who have agreed to get them, with an unsubscribe link and our contact details in each.

11. Your rights

You can ask to:

  • see the personal information we hold about you and how we use it
  • correct it if it’s wrong
  • have it deleted, where the law allows
  • withdraw your consent

If you live in Quebec, you can also ask for a copy of your information in a common electronic format, and ask us to stop sharing it or to remove links to it, where the law allows.

To make a request, contact our privacy officer. We will reply within 30 days. We may need to confirm who you are first.

12. Visitors from the EU and UK

The Site is meant for people in Canada and the United States. If you’re in the European Union or the United Kingdom and send us personal information, we rely on your consent or our legitimate interest in reviewing companies and running our firm. You have the rights in section 11, and you can also object to our use of your information or complain to your local data protection authority. Canada has an EU adequacy decision for commercial organizations, which allows data from the EU to come to us.

13. Children

The Site is not meant for anyone under 18, and we don’t knowingly collect their information.

14. Changes to this policy

We may update this policy by posting a new version here with a new effective date. If we make a major change, we will say so on the Site.

15. Questions and complaints
